Eofent Capture — End User License Agreement (EULA)

This End User License Agreement ("EULA") is between you and Eofent LLC, a New Mexico limited liability company ("Eofent", "we", "us"), and governs your installation and use of the Eofent Capture browser extension and any related client software, updates, and documentation (the "Software"). By installing or using the Software you agree to this EULA. Use of connected services, including accounts, entitlements, and the eofent.com website, is governed by our Terms of Service and Privacy Policy.
1. License Grant
Subject to this EULA and the Terms of Service, we grant you a limited, personal, revocable, non-exclusive, non-transferable, non-sublicensable license to install and use the Software on devices you own or control, for your own use, in accordance with the applicable documentation and your plan.
The Software is licensed, not sold. We and our licensors retain all right, title, and interest in and to the Software, including all intellectual property rights. No rights are granted to you other than those expressly stated in this EULA.
2. Plans, Entitlements, and Scope of This License
Certain features of the Software are enabled or limited according to your plan and the entitlements associated with your Eofent account. You agree not to bypass, disable, or interfere with entitlement verification or feature limits.
Features available in any plan, including features offered free during promotional periods, may be added, changed, moved between plans, or removed as described in Section 3 of the Terms of Service. Improvements to the features included in your plan are covered by this license at no additional cost.
This license covers the Eofent Capture Software only. Other products, applications, or optional services we may release — including any that depend on ongoing third-party or infrastructure costs — are licensed and priced separately and are not included in this license unless we state otherwise.
3. Restrictions
Except to the extent a restriction is prohibited by applicable law, you may not:
- copy, other than for reasonable backup, modify, adapt, translate, or create derivative works of the Software;
- reverse engineer, decompile, or disassemble the Software, or attempt to derive its source code;
- rent, lease, lend, sell, sublicense, distribute, or otherwise transfer the Software or your license to any third party;
- remove or alter any proprietary notices in the Software;
- use the Software to develop a competing product by systematically copying its features or behavior;
- use the Software in violation of law, including laws governing recording, privacy, and intellectual property.
4. Updates
The Software may update automatically through your browser's extension distribution mechanism. Updates may add, change, or remove functionality. This EULA applies to all updates unless an update is accompanied by a separate license, in which case that license governs the update.
5. Third-Party and Open-Source Components
The Software includes third-party and open-source components, for example libraries used for canvas editing and media processing. Those components are licensed under their own terms, which are available in the Software's acknowledgments or on request, and which apply to those components in place of Sections 1 and 3 of this EULA to the extent of any conflict.
6. Future Open-Source Release
We may, at our sole discretion, release some or all of the Software's source code under an open-source license in the future. If we do, that code will be governed by the chosen open-source license from the date of release. Such a release does not (a) retroactively change the license for versions distributed under this EULA, (b) obligate us to release any other component, or (c) affect the Terms of Service governing hosted services and accounts.
7. Your Content and Local Processing
Content you capture, record, or edit with the Software is created and stored locally on your device and belongs to you. This EULA grants us no rights to your content. You are solely responsible for what you capture and how you use it, and for retaining your own copies of anything you need. If you choose to enable an optional feature that transmits content to us, Section 6 of the Terms of Service applies.
8. Term and Termination
This EULA is effective until terminated. It terminates automatically if you breach it. You may terminate it at any time by uninstalling the Software. We may terminate or suspend the license as described in the Terms of Service. On termination, you must cease use of and uninstall the Software. Sections 3, 5, 7, 9, and 10 survive termination.
9. Disclaimer of Warranties
THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. SOME JURISDICTIONS DO NOT ALLOW CERTAIN EXCLUSIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.
Without limiting the above, the disclaimers in Section 9 of the Terms of Service apply equally to the Software, including those concerning:
- Page compatibility. We do not warrant that any capture, recording, archive, or export will succeed, or be complete or accurate, on any particular page. Websites vary widely and some actively resist capture.
- Derived text output. Text recognition, text extraction, and searchable-PDF text layers are produced automatically and may be inaccurate or incomplete. They must not be relied upon where accuracy matters.
- Device-dependent performance. The Software runs on your own hardware. Speed, quality, achievable resolution, maximum practical recording or page length, and reliability depend on your device, operating system, browser, and the content being captured. Resource-intensive operations may be slow, produce lower-quality results, or fail on some devices.
- Browser and platform dependence. The Software depends on browser extension APIs and platform behavior we do not control, which may change or be withdrawn without notice and may disable or degrade features at any time.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOSS OF DATA, PROFITS, OR BUSINESS, ARISING FROM THE SOFTWARE. OUR TOTAL AGGREGATE LIABILITY UNDER THIS EULA WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID FOR THE SOFTWARE OR RELATED SUBSCRIPTION IN THE 12 MONTHS BEFORE THE CLAIM, OR (B) USD $25. NOTHING IN THIS EULA EXCLUDES LIABILITY THAT CANNOT BE EXCLUDED BY LAW.
11. Export and Compliance
You may not use or export the Software in violation of applicable export control and sanctions laws.
12. Governing Law
This EULA is governed by the laws of the State of New Mexico, USA, without regard to conflict-of-laws rules, subject to any mandatory consumer protections of your place of habitual residence.
